  • Automated registrations are prohibited; accounts must be created and managed by humans.

  • Admins have full control over platform configurations, including adding or removing users, assigning roles (members, guests, viewers), and managing data access.
  • Admins are responsible for ensuring their organization complies with applicable policies and legal requirements.

4. Content and Data Ownership

  • You retain full ownership of all content and data ("Customer Data") uploaded or created using our software platform.
  • We are granted a limited, non-exclusive license to access, process, and store Customer Data only for the purposes of providing and maintaining the Services.

5. User Conduct and Acceptable Use

  • You agree not to engage in unlawful, malicious, or unauthorized activities.
  • Prohibited actions include uploading content that infringes on intellectual property, introducing viruses, reverse-engineering the platform, or disrupting the Services.
  • Violation of these terms may lead to content removal and account suspension.

6. Service Availability and Data Backup

  • While we strive to ensure high availability, downtime for maintenance, upgrades, or technical issues may occur. We encourage you to maintain backups of important data.
  • We are not liable for data loss or service interruptions beyond our control.

7. Third-Party Services and Integrations

  • Our system integrates with third-party tools via API. You are responsible for reviewing their terms and privacy policies.
  • We are not liable for third-party services actions or data handling practices.

8. Fees and Payments

  • Certain features may require a paid subscription. You agree to pay all applicable fees based on the selected plan.
  • Failure to pay may result in suspension or termination of services. We may offer a satisfaction guarantee or refund policy, but we reserve the right to decline refunds in cases of abuse.

9. Privacy and Security

12. Disclaimers and Limitation of Liability

  • The Services are provided "as-is" and "as-available." We make no warranties regarding platform performance or uninterrupted access.
  • We are not liable for indirect, incidental, special, or consequential damages, including loss of data or business.

13. Indemnification

  • You agree to indemnify us from any claims, damages, or losses arising from your use of the Services, violations of these Terms, or any content you upload.

14. Dispute Resolution and Arbitration

  • Any disputes between you and us shall be resolved via individual binding arbitration.
  • You waive the right to a jury trial or class action. You may opt out of arbitration within 30 days of accepting these Terms by sending written notice to ask@alliesia.com.

15. Governing Law

  • These Terms are governed by the laws of USA. For unresolved disputes not subject to arbitration, you agree to the exclusive jurisdiction of courts in USA.

16. Modifications to Terms

  • We may update these Terms from time to time. Notice of significant changes will be provided via email or through the platform. Continued use of the Services after such changes constitutes acceptance of the updated Terms.

17. Severability

  • If any provision in these Terms is found to be unenforceable, the rest of the agreement shall remain in full force and effect.

18. User Feedback and Submissions

  • Any feedback or materials submitted to us may be used freely without obligation or compensation.

19. Account Registration and Use

20. No Sensitive Data Submission

  • Do not upload sensitive data (e.g., health, government-issued IDs) unless explicitly permitted.

23. Refund Policy & Chargebacks

  • Refunds for initial purchases are available within 30 days. Some services may be non-refundable.
  • Unauthorized chargebacks may result in account suspension and added fees.

24. Termination Rights

  • Either party may terminate for material breach with 10 days' notice. You may cancel anytime, with access ending after the billing cycle.

25. Confidentiality

  • Both parties agree to keep non-public business, technical, and customer data confidential, except when disclosure is required by law or to service providers under similar confidentiality terms.

26. Force Majeure

  • Neither party is liable for events beyond its control (e.g., disasters, war).

27. Notices and Waiver

  • All notices will be sent to your registered email or platform dashboard. Failure to enforce a provision does not waive the right to enforce it later.

  • We may update these Terms from time to time. Notice of significant changes will be provided via email or through the platform. Continued use of the Services after such changes constitutes acceptance of the updated Terms.
